Terms of engagement.

These are the standing terms that apply when you engage Toivo Investment to source, vet, acquire, build, or manage real estate in Ghana. They are written in plain language. The signed engagement letter for your specific project takes precedence over anything on this page where the two conflict.

1. Parties

“T.I”, “we”, “us” refer to Toivo Investment, a real estate firm registered with the Ghana Investment Promotion Centre (GIPC) and the Real Estate Agency Council of Ghana, with offices at 6 Scarlet Avenue, New Achimota, Accra and a representative office in San Diego, California.

“You” or “the client” means the individual or entity that signs an engagement letter with us for an investment, build, or property-management mandate.

2. Services

We provide some or all of the following, as set out in your engagement letter: property sourcing, independent legal and technical due diligence, acquisition and registration coordination, design and build project management, tenant placement, property management, and quarterly financial reporting.

We do not provide tax advice, immigration advice, or financial-product advice. Where you need any of these, we will refer you to qualified independent advisers and you engage them directly.

3. Fees & expenses

Our standing fee schedule is published at /how-it-works and forms part of any engagement letter unless varied in writing. Statutory costs (stamp duty, Lands Commission registration, building permits) are billed at cost. We do not mark up third-party invoices.

Out-of-pocket expenses (long-distance travel, large-format printing, expedited courier, third-party software licences for project use) are billed at cost only when they exceed USD 100 per item, with prior notice.

4. Client funds & escrow

We do not hold client funds. All purchase, construction, and fee monies pass through a regulated trust account at a partner law firm, opened in your name. We are added as a co-signatory only for the purpose of releasing funds against agreed milestones, and that signing right can be revoked by you at any time.

5. Conflicts & commissions

We do not earn referral commissions from any third party — architects, engineers, lawyers, contractors, surveyors, or insurers. Where a third party offers a commission for introducing you, we decline it or pass it to you in the form of a reduced invoice.

When we introduce you to a property where T.I or one of its partners has a direct interest, that interest is disclosed in writing before you commit. You always have the option to walk.

6. Warranties & liability

We warrant that we will provide the services with the skill and care reasonably expected of a competent professional firm in our sector. Our standard contract caps our aggregate liability for any one engagement at the lower of (a) the fees paid to us under that engagement and (b) the cover of our professional indemnity insurance.

We do not warrant the future performance of any property or investment. Yields, occupancy, and resale values shown in any document are estimates based on stated assumptions; the assumptions are always disclosed.

7. Confidentiality & data

We treat all client information as confidential and share it only with our retained advisers (lawyers, accountants, surveyors) acting on your engagement, and only on a need-to-know basis.

We process personal data in line with our privacy policy.

8. Termination

Either party may terminate any engagement on 30 days’ written notice. On termination, you pay for work properly performed up to the termination date and any non-refundable third-party costs already committed. We hand over all files, drawings, and reports we hold for you within 14 days.

We may terminate immediately for non-payment after a written reminder, or if continuing the engagement would put us in breach of law or our professional standards.

9. Governing law

These terms and any engagement letter are governed by the laws of Ghana. Disputes that cannot be resolved by good-faith discussion are referred to arbitration in Accra under the Ghana Arbitration Centre rules, in English.
